Article 1 – Name: The name of this organization shall be the Moraine Valley Community College Annuitant Association.

Article II – Purpose: The purpose of this organization shall be to promote the individual and collective interests and welfare of the Moraine Valley Community College annuitants and their survivors; promote discussion with and service to Moraine Valley Community College and District #524; promote social events for the members; and promote discussion and participation with other such organizations in the State of Illinois. As amended by vote at the 21 Aug 03 general membership meeting.

Article III – Membership: Membership in the MVCCAA is open to current Moraine Valley Community College faculty, staff, and annuitants (and their spouses and survivors) who are members of the State Universities Retirement System (SURS). As amended by vote at the 7 Nov 02 general membership meeting.

Membership in this association includes membership in the State University Annuitants Association (SUAA) which serves annuitants and their survivors who receive pension benefits from the State University Retirement System (SURS).

Twenty-five percent of the membership will constitute a quorum for a membership meeting.

  Article IV – Executive Board: The affairs of this association shall be administered by an Executive Board of ten (10) members: president, president-elect, recording secretary, treasurer, five (5) members at large, and the past president, all of whom shall serve for two years. Members of the Executive Board shall be elected at an annual meeting. Their terms of office shall begin at the close of the annual meeting.

  Vacancies on the Executive Board shall be filled for the un-expired term by a vote of the members of the Board. A majority of the members of the Executive Board shall constitute a quorum.

The Executive Board shall arrange an annual spring meeting of the association membership and other such meetings as shall be deemed desirable. At such regular or special meetings of the association, the Board shall report its activities, the activities of all committees of the association, and the activities of the state association since the time of the previous meeting.

  Article V – Duties of Officers: The president of the association shall prepare an agenda for and preside at all meetings. The president shall serve as the official spokesperson for the association.

The president-elect shall preside at meetings when the president is unable to be present and shall act as ex-officio member of all standing committees.

The recording secretary shall be secretary for all Executive Board and membership meetings. The treasurer shall record all funds received from members, expend them as directed, and submit regular reports at meetings of the association. The financial records of the treasurer shall be audited annually by a special committee of the membership and reported at the annual meeting.

The outgoing president shall continue as a voting member of the Executive Board for two years.

Members-at-large shall act as public relations chairpersons, serve as delegates to the State University Annuitants Association and as representatives to the Moraine Valley Community College District #524 Board, and function as a liaison to the Faculty and Staff Association.

Article VI – Election of Officers: Every two years, at least three months prior to the annual spring meeting, the president, with the advice and consent of the Executive Board, shall appoint a nominating committee. This committee shall elect candidates for the Executive Board positions to be filled and shall present the names of the nominees (who have consented) to the membership at the annual meeting. Additional nominations (with the consent nominee) may be made from the floor at this time. The election procedure shall be determined by the Executive Board.

The office of President is limited to that person on SURS benefits who has been retired for at least one year upon assuming office.  As amended by vote at the 21 Aug 03 general membership meeting. This amendment was repealed by general membership meeting vote on 9 November 2006!

Article VII – Committees: The Executive Board shall designate such committees as will advance the work of the association. Appointments to committees shall be made by the president with the approval of the Executive Board. Standing committees may include Newsletter, Legislative activity,  Membership, and Programs.

Article VIII – Consultants: Consultants may be invited to attend meetings of the Executive Board or of the association by the president with the approval of the Executive Board.

Article IX – Dues: The amount of membership dues shall be recommended by the Executive Board and approved by the membership of the association. Dues shall be payable at the time of the annual meeting. New members shall pay dues upon joining and subsequently at the time of the annual meeting of the following calendar year. The dues shall include the state dues assigned to SUAA. The Executive Board may receive voluntary donations.

Article X – Amendments: Amendments to this Constitution may be proposed by the Executive Board or by petition signed by not less than ten (10) members of the association. Such amendments will be presented for adoption at the annual meeting of the membership and approved by 2/3 of the membership voting and present.

ByLaws:

·        A minimum of two (2) regular membership meetings, including the annual meeting, shall be held each year.

·        The Executive Board shall meet a minimum of four times a year at an agreed upon time and place.

·        Ad hoc committees shall be appointed as required. The president-elect shall be an ex-officio member of all committees except the nominating committee.

·        Payment of all obligations of the association shall be made by the treasurer of his/her designee. Requests for reimbursements will be forwarded to the president, approved, and given to the treasurer for payment.

·        The association’s liaison persons to other annuitant organizations shall be reimbursed for expenses as approved in the budget.
